Terms & Conditions

Please read these terms carefully before engaging any service offered by Quietharbor. By requesting a consultation or entering into a service agreement, you acknowledge that you have read, understood, and accept these terms as set out below.

1. Definitions

In these Terms & Conditions, the following words carry the meanings assigned here:

  • "Agreement" — these Terms & Conditions together with any service proposal or engagement letter accepted by the Client.
  • "We / Us / Our" — Quietharbor, operating from Suite 9-7, Wisma Consplant 2, Jalan SS 16/4, 47500 Subang Jaya, Selangor, Malaysia.
  • "Client / You / Your" — the individual or organisation that engages Quietharbor for advisory services.
  • "Service" — the sales process advisory engagements described on our website, including the Sales Conversation Mapping Session, Pipeline Hygiene Workshop, and Annual Sales Operations Advisory.
  • "Content" — written materials, frameworks, observation notes, and reference documents produced or shared during an engagement.
  • "Site" — the Quietharbor website accessible at our registered domain.

2. Acceptance of Terms

By submitting a contact form, requesting a consultation, signing an engagement letter, or making a payment to Quietharbor, you confirm that:

  • You are at least 18 years of age or have the legal authority to bind the organisation you represent.
  • You have the legal capacity to enter into a binding agreement under Malaysian law.
  • You have read and accept these Terms & Conditions in full.

If you are entering this Agreement on behalf of a company or organisation, you represent that you are authorised to do so.


3. Service Description

Quietharbor offers advisory services focused on sales process, conversation quality, and pipeline management. Our three current service offerings are:

Service 01

Sales Conversation Mapping Session

A one-week engagement producing a written observation note, a one-page talking frame, and a closing review meeting.

Service 02

Pipeline Hygiene Workshop for B2B Teams

A two-week workshop including two on-site sessions, a written pipeline reference, and a thirty-day follow-up review.

Service 03

Annual Sales Operations Advisory

A twelve-month advisory partnership including monthly pipeline reviews, quarterly planning sessions, and ad-hoc written notes.

Services are offered primarily to Malaysian B2B organisations. We reserve the right to decline engagements that fall outside our advisory remit or that we are not positioned to serve well.


4. User Responsibilities

To enable a productive engagement, the Client agrees to:

  • Provide accurate and complete information about the organisation and its sales context.
  • Make relevant team members available for sessions as agreed in the engagement plan.
  • Respond to scheduling and review requests within a reasonable time.
  • Use advisory outputs for internal business purposes only, unless separate written permission is obtained.
  • Refrain from sharing engagement materials publicly in a manner that misrepresents their source or context.

The Client also agrees not to use the Site or any communication channel with Quietharbor for unlawful purposes, to transmit harmful or offensive content, or to attempt to obtain services through misrepresentation.


5. Intellectual Property

All frameworks, templates, methodologies, and written materials developed by Quietharbor and shared during an engagement remain the intellectual property of Quietharbor unless expressly transferred in writing.

The Client is granted a non-exclusive, non-transferable licence to use engagement outputs internally for their own business purposes. This licence does not permit resale, sub-licensing, or public distribution of the materials.

Where the Client provides materials — such as call recordings or existing pipeline data — for review, the Client confirms they hold the rights to share such materials with us, and grants Quietharbor a limited licence to use them solely for the purposes of the engagement.


6. Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR). Current fees are:

Payment terms are confirmed in the engagement letter. Unless otherwise agreed, a deposit may be required prior to commencement. Fees are subject to applicable Malaysian taxes where required by law.

Refunds, where applicable, are handled on a case-by-case basis in line with the scope of work completed at the time of any request to end the engagement. We do not offer open-ended refund commitments. Disputes related to fees should be raised with us in writing at [email protected] before any third-party process is initiated.


7. Service-Specific Terms

The following additional terms apply to each service:

Delivery and Scope

Each engagement has a defined scope outlined in the service description and confirmed in the engagement letter. Work outside that scope is not included and would require a separate agreement.

Scheduling

Sessions are scheduled by mutual agreement. Cancellations requested with fewer than two business days' notice may result in the session being counted as delivered. Rescheduling is accommodated where reasonable notice is given.

Advisory Nature

All outputs are advisory and educational in nature. Quietharbor does not make binding recommendations on hiring, compensation, or deal-specific strategy. The Client retains full responsibility for decisions made on the basis of advisory input.

Engagement Extensions

Extensions to the agreed engagement period are subject to availability and fresh agreement on terms and fees.


8. Confidentiality

Both parties acknowledge that information shared during an engagement — including sales data, team structures, pipeline figures, and commercial strategies — is confidential.

Quietharbor will not share identifiable Client information with third parties except where required by law or with the Client's written consent. The Client is asked to treat Quietharbor's methodologies and frameworks with equivalent discretion.


9. Disclaimers

Advisory services are provided on an "as is" and "as available" basis to the best of our professional knowledge and experience. We do not represent that:

  • Engagement with Quietharbor will produce specific revenue, pipeline, or conversion outcomes.
  • Frameworks and observations shared during engagements are appropriate for every sales context without adaptation.
  • Advisory input substitutes for legal, financial, HR, or technical professional advice.

Our services are educational and process-oriented. Clients are encouraged to apply advisory input thoughtfully and in consultation with their own leadership and relevant professionals.


10. Limitation of Liability

To the extent permitted by Malaysian law, Quietharbor's total liability to a Client in connection with any engagement shall not exceed the fees paid by the Client for the specific service giving rise to the claim.

We shall not be liable for indirect, consequential, or incidental losses including loss of revenue, loss of profit, or loss of data, arising from the use of or reliance on advisory outputs. This limitation does not affect liability for fraud or for death or personal injury caused by negligence, where such liability cannot be excluded by law.


11. Indemnification

The Client agrees to indemnify and hold Quietharbor harmless from any claim, loss, cost, or expense — including reasonable professional fees — arising from the Client's misuse of engagement outputs, breach of these Terms, or misrepresentation in connection with the engagement.


12. Termination

Either party may end an engagement by providing written notice. The Client remains responsible for fees corresponding to work completed or sessions delivered prior to the termination date.

Quietharbor reserves the right to end an engagement immediately if the Client acts in breach of these Terms, or if circumstances arise that make it impractical or inadvisable to continue. Provisions relating to confidentiality, intellectual property, and limitation of liability survive the end of any engagement.


13. Dispute Resolution

These Terms are governed by the laws of Malaysia. The parties agree that the courts of Malaysia shall have jurisdiction over any dispute arising from or related to these Terms or an engagement with Quietharbor.

Before commencing any formal process, both parties agree to make a reasonable effort to resolve the matter informally by written communication. A written notice of dispute should be sent to [email protected], and the other party will respond within ten business days. If informal resolution is not reached within thirty days, either party may pursue available legal remedies.


14. General Provisions

Entire Agreement. These Terms, together with any engagement letter, represent the complete agreement between the parties on the subject matter and supersede prior discussions.

Severability. If any provision is found to be unenforceable, the remaining provisions continue in full effect.

Waiver. A failure by either party to enforce any provision at any time does not constitute a waiver of that provision.

Assignment. The Client may not assign rights or obligations under these Terms without written consent from Quietharbor. We may assign our rights where the business is transferred to a successor.

Notices. Written communications may be sent by email. Notices to Quietharbor should be directed to [email protected] or delivered to our registered address.

Force Majeure. Neither party shall be in breach for delays caused by events outside reasonable control, including natural disasters, government restrictions, or infrastructure failure.


15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Site and, where applicable, by email to active Clients. Continued engagement with Quietharbor after the effective date of any change constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
